The legal agreement between you and Expi

These Terms of Service ("Terms") constitute a legally binding agreement between you and Expi regarding your use of the Expi desktop media processing application and related services. By downloading, installing, or using Expi, you agree to be bound by these Terms.
If you do not agree with these Terms, do not download, install, or use Expi. These Terms apply to all users of Expi, including individual license holders and floating license administrators.
Subject to your compliance with these Terms, Expi grants you a limited, non-exclusive, non-transferable license to install and use Expi on up to two (2) devices that you own or control for your personal or commercial use.
You agree to use Expi responsibly and in compliance with all applicable laws. You are solely responsible for the content you process through Expi and must ensure you have the necessary rights to process such content.
You must maintain accurate records of your Expi usage and ensure compliance with your license terms.
You are responsible for ensuring your system meets Expi's requirements and for maintaining adequate hardware and network resources for optimal performance.
Expi and all intellectual property rights therein are and remain the exclusive property of Expi and its licensors. This includes but is not limited to software code, algorithms, user interface design, trademarks, and documentation.
You retain all rights to content you process through Expi. Expi does not claim ownership of your media files, and your content remains yours. Expi only accesses your content locally to provide the processing services you request.
Expi incorporates certain third-party open source components, including FFmpeg. These components are licensed under their respective open source licenses, which are included with the software.
EXPI IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION.
Our total liability to you for all claims arising from or related to Expi shall not exceed the amount you paid for your Expi license in the twelve (12) months preceding the claim.
Expi is a desktop application that operates primarily offline. However, certain features such as license verification, updates, and analytics may require internet connectivity. We strive to maintain high availability for these online services but do not guarantee uninterrupted access.
We reserve the right to temporarily suspend online services for maintenance, updates, or other operational reasons. We will provide reasonable notice when possible.
Some features may periodically transmit usage data or license verification requests over the internet. You acknowledge and agree to these transmissions as part of Expi's functionality.
Your license includes free updates to Expi. By using Expi, you consent to receive automatic software updates unless you opt out via the settings, where available. Updates are intended to improve security, functionality, and user experience.
We may modify these Terms from time to time. When we make significant changes, we will notify you through the application or via email. Your continued use of Expi after changes become effective constitutes acceptance of the updated Terms.
This license is effective until terminated. You may terminate it at any time by uninstalling Expi and destroying all copies. We may terminate your license immediately if you breach these Terms.
Upon termination, you must cease all use of Expi and uninstall it from all devices. Sections of these Terms that by their nature should survive termination shall continue in effect.
These Terms are governed by and construed in accordance with the laws of the jurisdiction where Expi is headquartered, without regard to conflict of law principles. Any disputes arising from these Terms or your use of Expi shall be resolved in the courts of that jurisdiction.
We are committed to ensuring Expi is accessible to users with disabilities where feasible and strive to meet modern software accessibility standards.
These Terms constitute the entire agreement between you and Expi regarding your use of the application and supersede any prior agreements, whether written or oral.
Any disputes or claims related to these Terms or your use of Expi will be resolved through binding arbitration on an individual basis, and not in a class, consolidated, or representative action. You agree to waive any right to a jury trial or to participate in a class action.
If arbitration is not enforceable under applicable law, you agree that any disputes shall be resolved exclusively in the courts located in the jurisdiction where Expi is headquartered.
